The formation cost of a Belgian SRL splits into two parts. First come fixed administrative fees, known in advance. In addition, professional fees apply, partly unregulated, above all the notary's.
A notarial deed is compulsory for an SRL, an SA and a cooperative company. In contrast, a non-profit or a general partnership can use a private deed. As a result, the formation cost gap between the two routes runs well beyond a thousand euros.
The fixed part of the formation cost
First, two official fees apply whatever the legal form. Publication in the Belgian Official Gazette comes first. Registration with the Crossroads Bank for Enterprises (CBE) follows. Both tariffs also rise with annual indexation and stay identical from one file to the next.
Besides, an annual company contribution starts from the first full year. You pay it to a social insurance fund, not to the tax authorities. Since 1 January 2026, four balance-sheet brackets set its amount. Many founders still leave it out of their formation cost.
Capital: no minimum, but a burden of proof
The Companies and Associations Code abolished the SRL minimum in 2019. However, the law now requires “sufficient initial equity” for the planned activity.
The financial plan must demonstrate it, and the founders hand that plan to the notary. If the company fails within three years, a court can reopen it. Founders may thus face liability when the resources gathered were manifestly insufficient. Therefore, incorporating with €1 of capital stays lawful, yet risky.
What the formation cost leaves out
However, the calculator ignores recurring first-year costs. For example, these include accounting fees and professional liability insurance. Moreover, sector licences and the director's own social insurance fund come on top.
Budget them separately in your cash flow plan. Indeed, they weigh far more on the first twelve months than the formation cost itself.
From signing to CBE registration
In fact, a notarial deed takes two to four weeks. However, a private deed usually needs only one to two weeks. That timeline covers the capital deposit, signing, publication and CBE registration. Therefore, start the process a month before your planned launch.
