General Terms of Sale
Terms applicable to subscriptions, credits and the generation of documents (financial forecasts and letters) on the juristelo platform.

1. Scope and acceptance
These General Terms of Sale ("GTS") govern the subscription by any user ("the Customer") to the subscriptions and credits enabling use of the paid features of the juristelo platform ("the Platform"), published and operated by Espero-Soft Informatiques SRL, with registered office at Rue de la Colonne 1A, 1080 Molenbeek-Saint-Jean, Belgium, registered with the Crossroads Bank for Enterprises under number BE 1033.022.383 ("juristelo", "we").
Any subscription or purchase of credits implies the prior and full acceptance of these GTS, as well as of the General Terms of Use and the Privacy Policy, which form an integral part hereof. The Customer acknowledges having read these documents before finalising the order.
juristelo reserves the right to amend these GTS at any time. The terms applicable to an order are those in force on the date of that order. For open-ended or automatically renewing subscriptions, any material change is notified to the Customer at least thirty (30) days before it takes effect; failing acceptance, the Customer may terminate free of charge before that date.
2. Definitions
"Platform": the juristelo website and applications and all features accessible online.
"Services": the paid features offered by juristelo, in particular the generation of financial forecasts and the drafting of letters and documents using artificial intelligence tools, as well as their export to PDF and Word (DOCX) formats.
"Generated Content": any document, text, financial forecast, letter or other output produced by the Platform's artificial intelligence tools from the information provided by the Customer.
"Credit": an internal unit of consumption, with no monetary value or legal tender, allocated under a subscription and debited for each paid operation (for example, generating a letter or a forecast).
"Subscription": a paid, periodically renewing plan granting a periodic allocation of credits and access to the Services, according to the plan chosen by the Customer.
"Consumer": any natural person acting for purposes outside their commercial, industrial, craft or professional activity, within the meaning of Book I of the Code of Economic Law.
3. Description of the Services
The Platform allows the Customer to produce, from the information they enter, documents generated automatically by artificial intelligence tools, in particular: (i) financial forecasts (income statements, cash flow plans, financing plans, break-even points and forecast indicators) intended, where applicable, to be presented to a bank or to investors; and (ii) letters and documents based on templates (for example: lease termination, formal demand for payment, cancellation of a subscription or contract).
The Generated Content is produced automatically on the sole basis of the information provided by the Customer. It constitutes a drafting aid and a draft document, which must be proofread, verified and, where applicable, adapted by the Customer before any use.
juristelo reserves the right to modify, add or withdraw templates, features or Services, without this giving rise to any compensation, subject to the Customer's acquired rights under a current subscription.
4. No legal, accounting or financial advice
juristelo is a publisher of software solutions. juristelo is not a law firm, not a holder of a regulated legal profession, and not an accounting or tax advisory firm. Use of the Platform creates no mandate, advisory or lawyer-client relationship between the Customer and juristelo.
The Generated Content (letters, formal demands, terminations, financial forecasts, etc.) does not constitute personalised legal, accounting, tax or financial advice and cannot replace it. It is provided for informational and documentary purposes, to facilitate the drafting of documents by the Customer themselves.
Financial forecasts are based on assumptions provided by the Customer and on standardised calculation models. They constitute neither a guarantee of result, nor a promise of profitability, nor an assurance of obtaining bank financing or investment. They do not exempt the Customer from consulting an accountant, an auditor or a financial adviser.
The Customer remains solely responsible for the appropriateness, verification, legal validity and use they make of the Generated Content. For any situation involving significant stakes or particular complexity, juristelo expressly recommends consulting a qualified professional (lawyer, notary, accountant, tax adviser).
5. Nature of content generated by artificial intelligence
The Generated Content is produced by artificial intelligence systems. Such systems may produce inaccurate, incomplete, outdated or inappropriate information for the Customer's particular situation (in particular errors of law, calculation, amount, deadline or reference).
The Customer acknowledges being aware of these limitations and undertakes to systematically proofread and verify the Generated Content before any use, sending or filing. juristelo does not guarantee that the Generated Content is free of error, suited to a given situation, up to date with the applicable legislation, or capable of producing the intended legal effects.
The Customer undertakes not to use the Platform to produce unlawful, misleading, defamatory or fraudulent content, content infringing the rights of third parties or contrary to public order. juristelo reserves the right to suspend or refuse any manifestly abusive or unlawful generation.
6. Subscriptions, credits and prices
Access to the Services is obtained by subscribing to a periodic subscription granting an allocation of credits, according to the plans and prices in force shown on the Platform's Pricing page. The prices shown there prevail over any other indication.
Each paid operation consumes a number of credits indicated before confirmation (for example, generating a letter from a template is charged at 2 credits). Credits are debited at the time the Content is generated. Consulting, editing and re-exporting Content already generated does not, unless otherwise indicated, give rise to a new debit of credits.
Credits allocated under a subscription are valid for the relevant subscription period. Unless otherwise stated on the Pricing page, unused credits are not carried over to the next period, are not refundable and cannot give rise to any cash consideration. Credits have no monetary value and cannot be transferred to a third party.
Prices are shown in euros. For Consumer Customers, prices are inclusive of all taxes (VAT included). For professional Customers, prices are exclusive of VAT, the applicable VAT being added where relevant. juristelo may change its prices; any price change applicable to a current subscription is notified in accordance with Article 1.
7. Payment terms
Payment is made in advance, upon subscription and then at each renewal date, via the payment methods available on the Platform: bank card, Bancontact, iDEAL or other offered methods. Payments are processed by our payment provider Stripe; juristelo does not retain full bank card data.
By subscribing to a renewing subscription, the Customer authorises juristelo, through Stripe, to automatically charge the subscription amount at each due date, until termination. An invoice is made available to the Customer in their personal area (Invoices section).
In the event of default, refusal or rejection of payment, juristelo may suspend access to the Services and the allocation of credits until the situation is rectified, without prejudice to any other right. With respect to professional Customers, any amount unpaid at maturity bears interest as of right at the legal rate applicable to commercial transactions, without prior notice.
8. Term, renewal and termination
The subscription is concluded for the period indicated at subscription (for example, monthly) and renews automatically by tacit renewal for successive periods of the same duration, unless terminated by either party.
The Customer may terminate their subscription at any time from their personal area or via the subscription management portal. Termination takes effect at the end of the current subscription period: the Customer retains access to the Services and to credits already allocated until that date, without any pro rata refund being due, save for mandatory provisions to the contrary.
In accordance with Article VI.91/4 of the Code of Economic Law, a Consumer bound by an open-ended or tacitly renewing service contract may terminate it at any time after the first period, by a means as simple as that used to subscribe, with notice not exceeding two months.
juristelo may terminate or suspend the subscription in the event of a serious breach by the Customer of their obligations (in particular non-payment, unlawful or fraudulent use of the Platform), after a formal notice that has remained without effect within a reasonable period, except in cases of urgency or manifest infringement of the rights of third parties.
9. Right of withdrawal and waiver
In accordance with Book VI of the Code of Economic Law, the Consumer is in principle entitled to a withdrawal period of fourteen (14) calendar days from the conclusion of the subscription contract, without having to give reasons.
The Services consist of the supply of digital content and of services performed immediately. By requesting the generation of Content (letter, forecast, export) before the expiry of the withdrawal period, the Consumer expressly requests immediate performance of the Service and acknowledges that they lose their right of withdrawal for the service already performed and for the credits already consumed, in accordance with Article VI.53 of the Code of Economic Law.
If the Consumer exercises their right of withdrawal for the part not yet performed, juristelo refunds the corresponding sums within fourteen (14) days, less, where applicable, the amount corresponding to the credits already consumed and the Services already provided at their request.
To exercise the right of withdrawal, the Consumer informs juristelo of their decision by an unambiguous statement (by email to info@juristelo.com or via the contact form), indicating their order references.
10. Customer obligations and warranties
The Customer undertakes to provide accurate, complete and up-to-date information. As the Generated Content depends directly on this information, juristelo cannot be held liable for the consequences of incorrect, incomplete or inappropriate information provided by the Customer.
The Customer warrants that they have the necessary rights and capacities to use the information they enter (in particular data relating to third parties) and that they use the Platform in compliance with applicable laws and the rights of third parties. The Customer is solely responsible for the use of the Generated Content and its distribution.
The Customer keeps their credentials confidential and is responsible for any use of their account. They undertake not to share, resell or pool their access, credits or subscription with third parties outside the conditions provided by their plan.
11. Intellectual property
Subject to full payment of the sums due, juristelo grants the Customer a personal right of use over the Generated Content, which the Customer may freely use, modify and distribute for their own needs.
The Platform, its code, its graphic design, its templates, its methodologies, its databases, its artificial intelligence instructions and configurations and all their elements remain the exclusive property of juristelo and its partners, and are protected by Belgian and international intellectual property laws. No provision hereof entails a transfer of these rights.
The Customer undertakes not to reproduce, extract, reuse or exploit, beyond the normal use of the Services, all or part of the Platform, its templates or its databases, nor to circumvent the technical limitations (in particular the credit system).
12. Availability, maintenance and evolution
juristelo implements reasonable means to ensure the availability and proper functioning of the Platform, without guaranteeing uninterrupted access. Access may be temporarily suspended for maintenance, updates or security reasons.
juristelo may use third-party technical providers (hosting, storage, payment, artificial intelligence provider). An interruption or malfunction attributable to these third parties cannot engage juristelo's liability beyond what is provided in Article 13.
13. Liability
juristelo is bound by an obligation of means. Given the automated nature of the Services and the limitations inherent in artificial intelligence (Article 5), juristelo does not guarantee the accuracy, completeness, legal validity or suitability of the Generated Content to the Customer's situation.
To the fullest extent permitted by law, juristelo is not liable for indirect or immaterial damages, in particular loss of opportunity, loss of profit, lost earnings, loss of data, commercial harm or the consequences of the use or sending by the Customer of unverified Generated Content. In particular, juristelo is not liable for the rejection of any financing, application or step based on a generated forecast or document.
Except in cases of wilful misconduct, gross negligence or bodily injury, and save for mandatory provisions to the contrary, juristelo's total liability, all heads of damage combined, is limited to the amount actually paid by the Customer for the Services during the twelve (12) months preceding the event giving rise to the damage.
No provision hereof has the effect of excluding or limiting juristelo's liability where the law prohibits it, in particular towards Consumers under mandatory legal warranties.
14. Personal data and use of artificial intelligence
The processing of personal data is governed by the Privacy Policy, which forms an integral part hereof. To generate the Content, the information entered by the Customer is transmitted to our artificial intelligence provider acting as a processor, under a processing agreement and appropriate safeguards governing any transfer outside the European Economic Area.
The Customer ensures they transmit only the data strictly necessary for the requested generation and refrains, as far as possible, from including unnecessary sensitive data. They are solely responsible for the third-party data they choose to enter into the Platform.
15. Force majeure
juristelo cannot be held liable for the non-performance or delay in the performance of its obligations resulting from force majeure or an event beyond its reasonable control (in particular a widespread network outage, the failure of an essential supplier, a cyberattack, a measure by the authorities).
16. Applicable law and dispute resolution
These GTS are governed by Belgian law. In the event of a dispute, the parties will endeavour to reach an amicable solution. The Consumer may also contact the Consumer Mediation Service (consumentenombudsdienst.be / mediationconsommateur.be) or use the European online dispute resolution platform: ec.europa.eu/consumers/odr.
Failing an amicable resolution, and subject to the mandatory rules of jurisdiction applicable to Consumers, the courts of the judicial district of Brussels shall have exclusive jurisdiction.
